LICENSE AGREEMENT FOR COREL WORDPERFECT FOR LINUX - PERSONAL EDITION (DOWNLOAD) ATTENTION: THIS IS A LICENSE, NOT A SALE. THIS PROGRAM IS PROVIDED UNDER THE FOLLOWING LICENSE WHICH DEFINES WHAT YOU MAY DO WITH THE PROGRAM AND CONTAINS LIMITATIONS ON WARRANTIES AND/OR REMEDIES. THIS LICENSE IS GRANTED BY COREL CORPORATION LIMITED FOR PRODUCTS PURCHASED OUTSIDE OF CANADA (EXCLUDING CORELDRAW, SCREEN SAVERS, PHOTOS AND MUSIC TRACKS) AND BY COREL CORPORATION FOR PRODUCTS PURCHASED IN CANADA (AND CORELDRAW, SCREEN SAVERS, PHOTOS AND MUSIC TRACKS). THIS LICENSE INCLUDES THE FOLLOWING: 1. GENERAL WEB LICENSE AGREEMENT 2. COREL GUIDELINES FOR THE USE OF CLIPART AND PROFESSIONAL PHOTO IMAGES LICENSE AGREEMENT IMPORTANT: READ CAREFULLY BEFORE DOWNLOADING SOFTWARE A. LICENSE: COREL ("we" or "us") provides you with a computer program (the "Program"), and grants you a license to use the Program in accordance with the terms of this License. The copyright and all other rights to the Program shall remain with us or our suppliers. You must reproduce any copyright or other notice marked on the Program on all copies you make. B. YOU MAY: 1. use the Program only on a single computer or network. This copy is to be used by a single user for personal use or for evaluation purposes only, and, in either circumstance, not for resale. For the purposes of this agreement, personal use means use of the Program by an individual for that individual's personal, non-commercial, and non-governmental use. This means, for example, that an individual may use the software for writing personal letters or other personal documents. Personal use does not include, for example, the use of the Program for creating documents to be used by a business, government, charity, church, or educational institution, whether for profit or not for profit. If your intended use of the Program does not qualify as personal use, you may only use the Program for evaluation purposes to determine if you wish to purchase a license to use the Program for purposes other than evaluation. If you wish to use the Program for more users, you will need an additional license for each user. 2. make one copy of the Program for archive or backup purposes. 3. use a copy of the Program on a home or portable computer if that copy is never loaded in the RAM of your home or portable computer at the same time it is loaded on your primary computer. 4. if this Program includes Clipart and/or Photo Images use these Clipart and or Photo Images only if you comply with the terms set out in the Corel Guidelines for the Use of Clipart and Professional Photo Images below. 5. transfer the Program to someone else only if you assign all of your rights under this License, cease all use of the Program, erase or destroy any copy (including the hard disk copy) made in support of your use of the Program, and ensure that the person to whom you wish to transfer the Program agrees to the terms of this License. 6. if you have purchased this Program as an upgrade of either a Corel Program or another vendor's Program, you may continue to use your upgraded Program with this Program. If you transfer this Program, you must either transfer the upgraded Program at the same time you transfer the Program or destroy the upgraded Program at the same time you transfer the Program. If the Program you have purchased is an upgrade of a Corel Program, you now may use that upgraded Program only in accordance with this License. NOTE: Programs that provide PDF and/or TIFF-LZW and/or GIF and/or Postscript-LZW and/or LZW graphics capability utilize technology covered by U.S. Patent No. 4,558,302, and all foreign counterparts ("Unisys Patent"). The license granted to You hereunder permits you to use the Unisys Patent in conjunction with your use of this Program only. Use of any other Program or the performance of any other activity involving the compression/decompression technology covered by the Unisys Patent requires a separate license from Unisys Corporation. C. YOU MAY NOT: 1. use the Program or make copies of it except as permitted in this License. 2. translate, reverse engineer, decompile, or disassemble the Program except to the extent the foregoing restriction is expressly prohibited by applicable law. 3. rent, lease, assign, or transfer the Program except as set out in paragraph B above. 4. modify the Program or merge all or any part of the Program with another program. 5. redistribute the fonts or sound files included with the Program. D. TERM: This license shall remain in effect only for so long as you are in compliance with the terms and conditions of this agreement. This license will terminate if you fail to comply with any of its terms or conditions. You agree, upon termination, to destroy all copies of the Program. If this Program is to be used for business evaluation purposes, you may only use the Program for evaluation purposes for a period of ninety (90) days from the date of download. Upon the expiry of such ninety (90) day period, your license to use the Program will expire and you agree to destroy all copies of the Program. The Limitations of Warranties and Liability set out below shall continue in force even after any termination. E. LIMITATIONS OF WARRANTIES AND LIABILITY: THIS SOFTWARE IS PROVIDED AND LICENSED BY COREL ON AN "AS IS" BASIS, WITHOUT ANY OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE QUALITY, SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. NEITHER COREL NOR ITS DEALERS OR SUPPLIERS SHALL HAVE ANY LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE OR PROFIT, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS, EVEN IF COREL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR THEY ARE FORESEEABLE. COREL IS ALSO NOT RESPONSIBLE FOR CLAIMS BY A THIRD PARTY. THE LIMITATIONS SET FORTH HEREIN SHALL APPLY WHETHER OR NOT THE ALLEGED BREACH OR DEFAULT IS A BREACH OF A FUNDAMENTAL CONDITION OR TERM OR A FUNDAMENTAL BREACH. SOME STATES/COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. F. U.S. Government Rights: With respect to any acquisition of the Program by or for any unit or agency of the United States Government (the "Government"), the Program shall be classified as "commercial computer software", as that term is defined in the applicable provisions of the Federal Acquisition Regulation (the "FAR") and supplements thereto, including the Department of Defense (DoD) FAR Supplement (the "DFARS"). The Program was developed entirely at private expense, and no part of the Program was first produced in the performance of a Government contract. If the Program is supplied for use by DoD, the Program is delivered subject to the terms of this Agreement and either (i) in accordance with DFARS 227.7202-1(a) and 227.7202-3(a), or (ii) with restricted rights in accordance with DFARS 252-227-7013 (c)(1)(ii)(OCT 1988), as applicable. If the Program is supplied for use by a Federal agency other than DoD, the Program is restricted computer software delivered subject to the terms of this Agreement and (i) FAR 12.212(a); (ii) FAR 52.227-19; or (iii) FAR 52.227-14(ALT III), as applicable. The contractor/manufacturer is Corel Corporation Limited, Europa House, 3rd Floor, Harcourt Street, Dublin 2, Ireland. G. ELIGIBILITY: To be eligible to download and/or purchase the Program you must be in compliance with applicable export laws. By accepting the End User License agreement you are representing and warranting to Corel you are compliant with the following statements: (i) you are not a citizen, national or resident of, and are not under the control of, the government of : Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, nor any other country to which the United States has prohibited export; (ii) you will not download or otherwise export or re-export the Program, directly or indirectly, to the countries mentioned in clause (i) nor to citizens, nationals or residents of those countries; (iii) you are not listed in the United States Department of Treasury lists of Specially Designated Nationals, Specially Designated Terrorists, and Specially Designated Narcotic Traffickers, nor are you listed on the United States Department of Commerce Table of Denial Orders; (iv) you will not download or otherwise export or re-export the Program, directly or indirectly, to persons on the lists mentioned in clause (iii); and (v) you will not use the Program for, and will not allow the Program to be used for, any purposes prohibited by United States law, including, without limitation, for the development, design, manufacture or Programion of nuclear, chemical or biological weapons of mass destruction. If you cannot represent and warrant that you are in compliance with the above statements, you are not eligible to download and/or purchase the Program. H. NETSCAPE NAVIGATOR: In those instances where Netscape Navigator is included in the Software the following clause shall also apply. EXPORT CONTROLS: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE PROGRAM MAY NOT BE EXPORTED OUTSIDE OF THE UNITED STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSONS" AS DEFINED IN SECTION G OF THIS END USER LICENSE AGREEMENT. BY USING THE PROGRAM, YOU ARE WARRANTING THAT YOU MEET THE ELIGIBILITY REQUIREMENTS OF SECTION G OF THIS END USER LICENSE AGREEMENT. I. GENERAL: This License is the entire agreement between us, superseding any other agreement or discussions, oral or written, and may not be changed except by a signed agreement. This License shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada for Programs purchased in Canada and by the laws of the Republic of Ireland for Programs purchased outside of Canada, excluding that body of law applicable to choice of law and excluding the United Nations Convention on Contracts for the International Sale of Goods and any legislation implementing such Convention, if otherwise applicable. If any provision of this License is declared by a Court of competent jurisdiction to be invalid, illegal, or unenforceable, such a provision shall be severed from the License and the other provisions shall remain in full force and effect. The parties have requested that this Agreement and all documents contemplated hereby be drawn up in English. BY ACCEPTING THIS END USER LICENSE AGREEMENT AND DOWNLOADING AND/OR PURCHASING THE PROGRAM YOU CERTIFY TO COREL ON BEHALF OF YOURSELF AND/OR YOUR COMPANY THAT YOU HAVE READ, UNDERSTAND AND AGREE TO COMPLY WITH AND BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT INCLUDING THE GUIDELINES FOR THE USE OF CLIPART AND PROFESSIONAL PHOTO IMAGES AND ANY ADDENDUMS HERETO AND ARE ELIGIBLE TO DOWNLOAD AND/OR PURCHASE THE PROGRAM. DOWNLOADING AND/OR INSTALLING THE PROGRAM WILL BE AN IRREVOCABLE ACCEPTANCE OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. COREL GUIDELINES FOR THE USE OF CLIPART AND PROFESSIONAL PHOTO IMAGES Corel Programs contain numerous clipart and photo images (collectively referred to as the "Images") which are either owned by Corel or licensed from a third-party. As a user of Corel Programs you are free to use, modify and publish the Images as you wish subject to the restrictions set out below. If you are uncertain as to whether your intended use is in compliance with the Guidelines set out below, we recommend that you seek the advice of your own attorney or legal counsel. Corel will not provide you with an opinion as to whether your use is in compliance with these Guidelines. YOU MUST: 1. Include the following notice in a conspicuous place (i.e. where similar proprietary notices are contained) in the proposed use: "This Program/publication includes images from [insert full name of Corel Program] which are protected by the copyright laws of the U.S., Canada and elsewhere. Used under license." YOU MAY NOT: 1. create scandalous, obscene, defamatory or immoral works using the Images nor use the Images for any purpose which is prohibited by law. 2. redistribute, sell or publish the Images included with the Corel Program as a collection, or as part of a collection of, stock photography or clipart or as part of a Program for which they represent a significant portion of the content. 3. use any of the Images related to identifiable individuals or entities for any commercial purpose or in a manner which suggests their association with or endorsement of any Program or service. 4. Use or permit the use of the Image(s) or any part thereof as a trademark or service mark, or claim any proprietary rights of any sort in the Image(s) or any part thereof. 5. use or publish the Images in electronic format unless all of the following are met: i) the Images are embedded at no higher than a base resolution of 512 X 768; ii) the Images are incorporated for viewing purposes only and a notice is included in the proposed use specifying that the Images may not be saved or downloaded and are only to be used for viewing purposes; iii) the proposed use is not a Program which is similar to or competes with any of the features of any Corel Program. Government Crests, Seals and other Insignia The national and municipal insignia contained in this Program are protected by various laws against misuse. Generally speaking, all logos, insignia, patches, seals, flags and coats of arms are for official use only. It is your responsibility to obey all national and international laws regulating display of the insignia, seals, flags and coats of arms contained herein. *Third-Party Clipart Some clipart is provided by...
